New Annual Reporting Requirement for Pennsylvania

Starting this year, all businesses and nonprofits registered in Pennsylvania must submit an annual report to the Department of State. This new requirement replaces the previous decennial filing process, following the enactment of Act 122 of 2022, signed by Governor Tom Wolf. The goal of this legislation is to promote greater transparency and accountability among businesses operating in the state.

Entities Required to File:

This requirement applies to various entities, including domestic business corporations, nonprofits, limited liability (general) partnerships, LLCs, and foreign associations, among others. Most entities are subject to a $7 filing fee, except for nonprofits. 

Filing Deadlines:

  • Domestic and Foreign Corporations: January 1 – June 30
  • Domestic and Foreign LLCs: January 1 – September 30
  • Other Domestic Filing Entities and Foreign Filing Associations: Until December 31

Filing Process:

Annual reports must be submitted online through the Pennsylvania Department of State’s Business Filing Services (PA Business One-Stop Hub). You will need the organization’s name, jurisdiction, registered office address, board member and officers’ names, and the Pennsylvania Department of State Entity number.

Consequences of Non-Compliance:

Failure to file by the deadline could lead to administrative dissolution, so it’s crucial to establish filing routines now.

As businesses navigate this transition period, it’s essential to set up internal processes and reminders to ensure compliance. Although the Department of State will send reminder postcards, the responsibility to file on time ultimately rests with the business.
